Subsidiaries of Marubeni Corporation to Merge to Strengthen Network Solution Sector

Marubeni Corporation (Marubeni”) hereby announces a merger (hereinafter, “this Merger”) of two Marubeni subsidiaries: Marubeni Wireless Communications Inc. (hereinafter, “MWC”) and Marubeni Network Solutions Inc (hereinafter, “MNS”) (formerly, Marubeni OKI Network Solutions Inc. (hereinafter, “Marubeni OKI Network”)). The purpose of this Merger is to expand business in the network solution area by more efficiently using the management resources of MWC and MNS.

MWC is a MVNO(*1) for corporations which provides domestic and global wireless communication, wireless devices, and one-stop IoT and image analyzing solution services to corporate customers, M2M (Machine to Machine), and IoT providers. MNS provides network integration services such as network design, construction, maintenance, and operation, to corporate customers inside and outside of Marubeni and Oki Electric Industry Co., Ltd. (hereinafter, “OKI”) groups.

The new company formed from this Merger will operate as a strategic subsidiary for Marubeni, supplying high-quality network services using a mix of wired networks, wireless networks and cloud services, and becoming a core company in the network solutions field. The new company will also seek to maximize its company value, enhance its services, and further increase customer satisfaction by flexibly adjusting to changes in the telecommunications industry market environment such as 5G and AI image analysis, which are potential growth markets.

Prior to this Merger, Marubeni acquired all of Marubeni OKI Network’s shares by purchasing the shares owned by OKI (34%) on May 14, 2019. Today, Marubeni changed the name of the company from Marubeni OKI Network Solutions Inc., to Marubeni Network Solutions Inc.

Although the capital ties between MNS and OKI have been dissolved, Marubeni, MNS and OKI have agreed to enter into a business cooperation agreement together and will continue their existing business, and move ahead to create new businesses and commodities in areas such as IoT, AI and 5G.
