Petrobras, following on from the statement released on June 1, 2022, informs that, after complying with all the conditions precedent set out in the share purchase and sale agreement, the purchase of Edison SpA's stake (50%) in the company Ibiritermo SA and the transfer of the Ibirité Thermoelectric Power Plant (UTE Ibirité) to Petrobras was carried out.
With the conclusion of the transaction, Petrobras now holds 100% of the shares of Ibiritermo SA and the exclusive property of UTE Ibirité, starting its operation as an asset integrated to the company's portfolio of thermal plants, without associated corporate structure. Also with the conclusion, Petrobras begins the necessary measures to close Ibiritermo SA through liquidation.
This operation is carried out in compliance with the Energy Conversion Contract (ECC - Energy Conversion Contract), signed on 06/21/2002 with Ibiritermo SA, and is in line with the strategy of optimizing the portfolio of companies and improving the allocation of capital of the company, aiming at maximizing value and greater return to society.
